LingoAI Terms of Use

These Terms of Use ("Terms") govern your access to and use of LingoAI's websites, applications, Holon, Voice Studio, Data Marketplace, AI services, Web3 features, APIs, and related products and services (collectively, the "Services").

The Services are provided by LingoAI Ltd, Company No. 2184673, a company incorporated in the British Virgin Islands ("LingoAI", "we", "us", or "our").

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.

1. ELIGIBILITY

You may use the Services only if you are legally capable of entering into a binding agreement and your use of the Services is permitted under applicable law.

If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Certain products, blockchain features, data marketplaces, rewards, tokens, or other Services may be subject to additional eligibility requirements, geographic restrictions, or product-specific terms.

2. LINGOAI SERVICES

LingoAI develops technology and infrastructure for personal AI, multilingual and multimodal data, user-controlled data permissions, AI agents, and related technologies.

Services may include Holon personal AI; personal memory and ontology functionality; AI chat and AI agent functionality; document, image, audio, and other data processing; Voice Studio; multilingual and multimodal data contribution tools; Data Marketplace; data authorisation and permission systems; blockchain-enabled functionality; APIs and developer services; and other AI and data services.

Some features may be experimental, beta, preview, or under active development.

We may add, modify, suspend, or discontinue features as our Services evolve.

3. YOUR ACCOUNT

Certain Services require an account, wallet connection, or other authentication method.

You are responsible for maintaining the confidentiality of your credentials; securing devices used to access the Services; maintaining control over connected wallets; activities performed through your account; and promptly notifying us if you believe your account has been compromised.

LingoAI will never ask you to provide your blockchain wallet seed phrase or private key.

4. USER CONTENT

You may upload or provide text, documents, images, voice recordings, audio, video, datasets, prompts, and other information ("User Content").

You retain any ownership rights you have in your original User Content.

By submitting User Content, you grant LingoAI a limited, worldwide, non-exclusive licence to host, store, reproduce, process, transmit, analyse, transform, and otherwise use that User Content as reasonably necessary to provide the Services you request; operate AI, memory, and retrieval functionality; create personal memories, knowledge graphs, or ontologies; maintain and secure the Services; comply with applicable law; and perform other processing you have specifically authorised.

This licence does not give LingoAI unrestricted ownership of your original User Content.

Separate terms may apply when you intentionally contribute or license data through a Data Marketplace, dataset programme, research project, or other contribution programme.

5. YOUR RESPONSIBILITIES

You represent and warrant that you have all rights, permissions, licences, consents, and lawful bases necessary to submit User Content to the Services.

You must not upload or provide information in violation of another person's privacy, intellectual property, confidentiality, contractual, or other rights.

You are responsible for the information you choose to provide to an AI system and for evaluating whether particular information is appropriate to upload or share.

6. ACCEPTABLE USE

You may not use the Services to violate applicable laws or regulations; infringe intellectual property, privacy, confidentiality, or other rights; impersonate another person or organisation; distribute malware or malicious code; interfere with the security or operation of the Services; gain unauthorised access to accounts, systems, or data; conduct fraudulent or deceptive activity; manipulate, exploit, or attack LingoAI infrastructure; circumvent technical restrictions or security measures; use automated methods to access the Services in a manner that materially disrupts the Services; or use the Services for other unlawful, harmful, or abusive purposes.

We may restrict or suspend access where reasonably necessary to protect users, LingoAI, third parties, or the integrity and security of the Services.

7. HOLON AND PERSONAL AI

Holon may process information you provide to generate personal context, memories, entities, relationships, knowledge graphs, ontologies, recommendations, or AI responses.

Holon's understanding of you is generated computationally and may be incomplete or incorrect.

You should review important information rather than assuming that an AI-generated memory, relationship, classification, inference, recommendation, or action is accurate.

Where controls are available, you may manage certain memories, information, permissions, and data sources associated with your Holon.

8. AI-GENERATED CONTENT

The Services may generate text, recommendations, summaries, translations, classifications, predictions, or other AI-generated outputs ("Outputs").

AI systems are probabilistic and may produce incorrect, incomplete, outdated, or misleading Outputs.

Outputs are provided for informational and productivity purposes and should not automatically be treated as professional, legal, financial, medical, investment, or other specialised advice.

You are responsible for evaluating Outputs before relying on, publishing, distributing, or otherwise using them.

9. DATA MARKETPLACE AND DATA CONTRIBUTIONS

LingoAI may enable users to contribute, license, authorise, or otherwise make certain data available for permitted uses.

Specific data transactions or contribution programmes may be governed by additional terms specifying permitted data uses, licence scope, duration, compensation, contributor requirements, quality requirements, validation, privacy requirements, and withdrawal or termination rights.

Where additional terms apply, those terms form part of your agreement with LingoAI for the relevant activity.

Participation in one data programme does not constitute blanket authorisation for unrelated use of your personal data.

10. BLOCKCHAIN AND WEB3 FEATURES

Certain Services may interact with blockchain networks, smart contracts, wallets, tokens, or decentralised infrastructure.

You acknowledge that blockchain transactions may be irreversible; publicly visible; subject to network fees; dependent on third-party protocols; subject to technical vulnerabilities; and outside LingoAI's direct control.

You are responsible for reviewing transactions and permissions before signing or submitting them.

LingoAI does not control public blockchain networks and cannot guarantee that a blockchain transaction can be reversed, cancelled, modified, or deleted.

You are responsible for maintaining the security of your wallet and private credentials.

11. TOKENS, REWARDS AND DIGITAL ASSETS

Certain Services may include points, rewards, tokens, digital assets, or blockchain-based functionality.

Unless expressly stated otherwise in applicable product-specific terms, such features are intended to provide access to or functionality within the relevant ecosystem and should not be interpreted as a guarantee of financial value, liquidity, appreciation, profit, or return.

Availability may vary by jurisdiction.

Additional terms, eligibility requirements, transfer restrictions, or geographic restrictions may apply to particular token or digital-asset functionality.

Nothing in these Terms constitutes investment, financial, legal, or tax advice.

12. INTELLECTUAL PROPERTY

The Services, including software, interfaces, designs, trademarks, logos, technology, documentation, databases, and other LingoAI materials, are owned by or licensed to LingoAI and are protected by applicable intellectual property laws.

Except for rights expressly granted under these Terms, no rights in LingoAI intellectual property are transferred to you.

"LingoAI", "Holon", associated logos, and related marks may be trademarks or other protected identifiers of LingoAI or its licensors.

13. THIRD-PARTY SERVICES

The Services may interact with third-party services including blockchain networks, wallets, AI model providers, cloud providers, storage systems, payment providers, external applications, and other technology providers.

Your use of third-party services may be subject to separate terms and privacy policies.

LingoAI is not responsible for services, systems, protocols, applications, or networks operated independently by third parties.

14. PRIVACY

Our collection and processing of personal data is described in the LingoAI Privacy Policy.

The Privacy Policy should be read together with these Terms.

15. BETA AND EXPERIMENTAL FEATURES

Certain Services may be identified as beta, experimental, preview, testnet, early access, or similar.

These features may contain errors, change without notice, be unavailable from time to time, produce unexpected results, or be discontinued.

You should not rely on experimental features for critical activities unless expressly stated otherwise.

16. SERVICE AVAILABILITY

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.

The Services may be unavailable due to maintenance, infrastructure failures, third-party outages, blockchain network conditions, cybersecurity events, regulatory requirements, force majeure events, or other circumstances outside our reasonable control.

We may modify, suspend, or discontinue portions of the Services where reasonably necessary.

17. DISCLAIMERS

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

LingoAI does not warrant that the Services will always be available or uninterrupted; AI Outputs will always be accurate, complete, or reliable; the Services will meet every user's requirements; data will never be lost; blockchain or third-party services will remain available; or the Services will be completely free from vulnerabilities, errors, or harmful components.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, LingoAI and its affiliates, officers, directors, employees, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your access to or use of the Services.

This includes, where permitted by law, loss of profits, revenue, business opportunities, data, goodwill, digital assets, or other intangible losses.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

Where permitted by applicable law, LingoAI's aggregate liability arising out of or relating to the Services will be limited to the greater of: (1) the amount you paid directly to LingoAI for the relevant Service during the twelve months preceding the event giving rise to the claim; or (2) USD 100.

19. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless LingoAI Ltd and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services; your material breach of these Terms; User Content submitted by you that infringes third-party rights; or your violation of applicable law or the rights of another person.

This provision applies only to the extent enforceable under applicable law.

20. SUSPENSION AND TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access where reasonably necessary if you materially violate these Terms; your use creates security or legal risk; suspension or termination is required by law; fraudulent or abusive activity is detected; or continued access could materially harm LingoAI, users, or third parties.

Where reasonably practicable and legally permitted, we may provide notice before termination.

21. CHANGES TO THESE TERMS

We may update these Terms as our Services, technology, business, or legal obligations evolve.

Material changes will be communicated where required by applicable law.

The "Last Updated" date indicates when these Terms were most recently revised.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

22. GOVERNING LAW AND DISPUTES

These Terms and any dispute or claim arising out of or in connection with them or the Services will be governed by the laws of the British Virgin Islands, without regard to conflict-of-law principles.

Subject to any mandatory rights or procedures available under applicable law, the courts of the British Virgin Islands will have jurisdiction over disputes arising out of or relating to these Terms or the Services.

23. GENERAL

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Failure by LingoAI to enforce a provision does not constitute a waiver of that provision or any other provision.

You may not transfer your rights or obligations under these Terms without our prior written consent. LingoAI may transfer its rights or obligations as part of a corporate restructuring, merger, acquisition, financing, sale of assets, or similar transaction, subject to applicable law.

These Terms, together with the Privacy Policy and any applicable product-specific or programme-specific terms, constitute the agreement governing your use of the relevant Services.
